SOFTWARE AS A SERVICE (SaaS) AGREEMENT

This Software as a Service ("Agreement") is made between Cumberland Solutions S.L., a company incorporated in Madrid, Spain ("WePlan Analytics," "We," "Us," or "Our"), and the individual or entity agreeing to these terms ("You" or "Your"). By clicking "OK" or using the WePlan Analytics service ("Service"), You agree to be bound by this Agreement. If You do not accept these terms, do not use the Service.

1. ACCEPTANCE OF TERMS

WePlan Analytics provides its Service subject to this Agreement, which may be updated periodically. Continued use constitutes acceptance of any modifications.

2. GRANT OF LICENSE

We grant You a non-exclusive, non-transferable, revocable right to use the Service for non-commercial purposes, subject to compliance with this Agreement. Accounts are for personal users and human use only.

3. USER RESPONSIBILITIES

You agree:

  • Not to misuse the Service, including unauthorized access, scraping, data harvesting, or automated requests that generate excessive requests beyond a reasonable human usage rate. If You consistently engage in such behavior, WePlan Analytics reserves the right to restrict or terminate Your access to the Service.
  • To ensure Your access credentials are secure and not shared.
  • To comply with applicable laws, including data protection regulations.

4. INTELLECTUAL PROPERTY

All content, trademarks, and software associated with the Service remain Our exclusive property. You may not reproduce, modify, or distribute any aspect of the Service without Our prior written consent.

5. DATA PRIVACY & SECURITY

We handle personal data in accordance with applicable privacy laws, including the GDPR. Refer to Our Privacy Policy for details on how We collect, use, and store data.

6. SERVICE AVAILABILITY & SUPPORT

We do not guarantee uninterrupted Service availability. Maintenance, upgrades, or unforeseen issues may result in downtime.

7. EXPORT RESTRICTIONS

The Service may be subject to export control laws. You may not use, export, or re-export the Service in violation of applicable regulations.

8. DISCLAIMERS & LIMITATION OF LIABILITY

  • The Service is provided "AS IS" without warranties of any kind.
  • We are not liable for indirect, incidental, or consequential damages arising from use of the Service.

9. INDEMNIFICATION

You agree to indemnify and hold harmless WePlan Analytics, its affiliates, and officers from any claims arising out of Your use of the Service.

10. TERMINATION

We may suspend or terminate Your access to the Service if You violate this Agreement. Upon termination, You must cease all use of the Service.

11. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by the laws of Spain. Any disputes shall be resolved in the courts of Madrid.

12. MISCELLANEOUS

  • Force Majeure: We are not responsible for service failures due to events beyond Our control.
  • Entire Agreement: This Agreement constitutes the entire agreement between the parties.
  • Severability: If any provision is found invalid, the remaining provisions remain in effect.

By using the Service, You acknowledge that You have read and understood this Agreement and agree to be bound by its terms.
